Specimen version 1.0, 5 October 2026.
1. Parties and purpose
The parties are GOLDEN INVEST d.o.o. za poslovanje nekretninama, Ulica Josipa Hatzea 22F, 23000 Zadar, Croatia, OIB 18084438757 ("Golden Invest Group"), and the member named in the agreement (the "Member"), each a "Party".
The Parties share information in order to evaluate one or more specific property or development opportunities and a possible acquisition (the "Purpose").
2. Confidential information
Confidential Information means all non-public information one Party discloses to the other for the Purpose, in any form, including property and owner details, documents, plans, prices and terms, the identity of sellers and buyers, personal data, and the fact that discussions are taking place. It includes trade secrets within the meaning of the Croatian Act on the Protection of Undisclosed Information with Market Value (Narodne novine 30/2018).
Information is not Confidential Information if it is or becomes public without a breach of this agreement, was lawfully known to the receiving Party before disclosure, is independently developed, or is lawfully received from a third party without a duty of confidence.
3. Obligations
The receiving Party uses Confidential Information only for the Purpose; keeps it confidential with at least reasonable care; shares it only with its employees and professional advisers (such as lawyers, tax advisers, banks and notaries) who need it for the Purpose and are bound by confidentiality; and does not copy it more than the Purpose requires.
Either Party may disclose Confidential Information where the law, a court or a competent authority requires it. Nothing in this agreement restricts disclosures that the law requires or protects.
4. Personal data, return and term
Personal data in Confidential Information is processed only for the Purpose and in line with the General Data Protection Regulation. On request, or when the Purpose ends, the receiving Party returns or destroys Confidential Information, except copies the law requires it to keep. The obligations in this agreement last for three years from signature.
5. No obligation to transact and no fee
This agreement creates no obligation to enter into any transaction, no exclusivity and no licence, and it creates no obligation to pay any fee. A brokerage fee can arise only under a separate written brokerage agreement.
6. Remedies, law and signature
Each Party is liable for damage caused by its breach under the Croatian Civil Obligations Act and may seek the remedies available under the Act on the Protection of Undisclosed Information with Market Value, including an order to stop unlawful use or disclosure.
Croatian law governs this agreement. If the Member is a consumer, this choice does not deprive the Member of the protection of the mandatory rules of the country where the Member habitually resides, and the Member may bring proceedings in the courts of that country or of Croatia. Otherwise the competent court in Zadar has jurisdiction.
The agreement is signed in writing or with a qualified electronic signature, in English and, at the Member's request, also in Croatian.
